Terms of Service

SkillTap.ai is operated by FullBricks LLC ("FullBricks", "we", "us"), 30 N Gould St Ste N, Sheridan, WY 82801, USA. These Terms govern your organization's access to and use of SkillTap.

SkillTap is a workplace product. It is bought by an organization and used by that organization's people. So these Terms distinguish two roles throughout: the Customer, the organization that contracts with us, and the Authorized Users, the people it lets log in. The contract is between us and the Customer. "You" always means the Customer.

If you accept these Terms on behalf of an organization, you confirm that you are authorized to bind it. If you have signed a separate written agreement with us that conflicts with these Terms, that agreement controls.

1. Definitions

Customer ("you") — the organization that contracts with us for the Service and controls the account.

Authorized User — a person you permit to use the Service under your account. Usually your sales representatives, their managers, and your administrators.

Customer Data — content you or your Authorized Users put into the Service, and content the Service creates from it. This includes roleplay transcripts, personas, scoring rubrics, your organization's profile and context, and other material uploaded to your account.

Output — the assessments the Service produces by applying AI to a roleplay transcript: a score from 0 to 100, written feedback, and related analysis. Output forms part of Customer Data.

Service — SkillTap: the web application at skilltap.ai, the AI persona an Authorized User practices against, transcription of the practice call, and AI scoring of the transcript against your rubric.

2. Accounts and organizations

Your account is an organization, and your administrators control it.

Your administrators decide who becomes an Authorized User, what role each one holds, and what each role can see and do — including which roles can see other Authorized Users' transcripts and scores. Those are your decisions, not ours.

You are responsible for the access you grant, for keeping your administrators' credentials secure, and for what your Authorized Users do with the Service. An act or omission by an Authorized User is treated as your act or omission under these Terms.

3. Customer Data and ownership

You own Customer Data. We claim no ownership of it.

You grant us a limited, non-exclusive license to host, copy, transmit, and process Customer Data for one purpose only: providing the Service to you.

We use Customer Data only to provide the Service to you. We do not use Customer Data to train AI models, and we do not use it to improve SkillTap.

Our Privacy Policy describes what we collect, how long we keep it, and the categories of service providers involved in delivering the Service.

4. AI Output

This section is the one to read closely.

Here is what the Service does. An Authorized User holds a spoken practice call with an AI persona. The call is transcribed. An AI model grades that transcript against your rubric and returns a score from 0 to 100 plus written feedback. Depending on the roles you configure, that Authorized User's manager can see the score and the feedback.

Output is AI-generated and probabilistic. It may be inaccurate, incomplete, or inconsistent. The same call graded twice may not produce the same score. Grading depends on transcription, which can misread accents, names, jargon, and crosstalk.

Output is advisory. It is a coaching signal. It is not a determination of fact, and it is not a determination of any person's performance, ability, honesty, or character.

You must apply meaningful human review. Before you act on Output, a person must review it, apply independent judgment, and be able to reach a different conclusion than the Output suggests.

You will not use Output as the sole basis for any employment decision, including hiring, termination, promotion, discipline, or compensation.

You are responsible for legal compliance. You decide how to use SkillTap in your workplace. You are responsible for complying with the employment, labor, and privacy laws that apply to you in every jurisdiction where your Authorized Users work. Some jurisdictions regulate automated employment decision tools specifically, with obligations such as notice, consent, bias auditing, and record-keeping. Meeting those obligations is your responsibility.

You are responsible for telling your Authorized Users. You must notify your Authorized Users that their practice calls are transcribed and scored, and that their results may be visible to their manager. You must obtain any consent your law requires. We do not do this for you, and we have no relationship with your Authorized Users other than through you.

5. Acceptable use

You and your Authorized Users will not:

  • use the Service in violation of any applicable law or regulation;
  • put into the Service any data you do not have the rights to use, or that you are not permitted to disclose to us;
  • reverse-engineer, decompile, or attempt to extract or derive the models, prompts, or weights underlying the Service, or use Output to build a competing model or service; or
  • use the Service to record or process the communications of third parties without a lawful basis for doing so.

6. Service availability and changes

The Service is provided on an "as is" and "as available" basis. We do not commit to an uptime level at this tier. If we agree to a service level with you, it will be in a written agreement or order form.

We may modify the Service, including adding, changing, or removing features.

7. Fees

Fees and payment terms are governed by the written agreement or order form between you and us.

If we have not agreed fees with you in writing, any access we give you is free of charge, and we may change or withdraw it at any time.

8. Term and termination

These Terms apply for as long as you use the Service.

You may terminate at any time by notifying us at legal@skilltap.ai. Except as stated in section 7, we may terminate if you materially breach these Terms and do not cure the breach within 30 days of our written notice.

When these Terms end, access to the Service ends. For 30 days after termination, you may request a copy of Customer Data, and we will provide it to you in a machine-readable format. After that window closes, we will delete Customer Data within 30 days, except for records we are required to retain by law, such as billing records, and copies in routine backups that expire on their normal schedule.

Sections 1, 3, 4, 5, and 8 through 12 survive termination. Our commitment in section 3 not to train AI models on Customer Data, or use it to improve SkillTap, keeps applying to any Customer Data we still hold.

9. Disclaimers

To the maximum extent permitted by law, the Service and Output are provided without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We specifically do not warrant that Output is accurate, complete, reliable, consistent, or suitable for evaluating any person. We do not warrant that the Service will be uninterrupted or error-free.

Some jurisdictions do not allow the exclusion of implied warranties, so some of these exclusions may not apply to you.

10. Limitation of liability

Neither party is liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, or data, even if the party was advised that such damages were possible.

Each party's total liability arising out of or relating to these Terms will not exceed the greater of (a) the fees you paid or owed us for the Service in the 12 months before the event giving rise to the claim, or (b) US$100.

These limits do not apply to your obligations under section 11, to either party's breach of section 5, or to a party's fraud or willful misconduct.

Some jurisdictions do not allow some of these limitations, so they may not apply to you in full.

11. Indemnification

By you. You will defend us against third-party claims arising from (a) Customer Data, including a claim that you lacked the rights to it or were not permitted to disclose it to us; (b) use of the Service by you or your Authorized Users in violation of these Terms or of law; or (c) any employment decision you make, including a claim by an Authorized User relating to how Output was used. You will pay the damages and costs finally awarded, or agreed in settlement.

By us. We will defend you against third-party claims that the Service, used as these Terms permit, infringes a United States patent, copyright, or trade secret, and we will pay the damages and costs finally awarded, or agreed in settlement. This does not cover claims arising from Customer Data, from modifications you make, from combining the Service with anything we did not supply, or from use in breach of these Terms. If the Service becomes the subject of such a claim, we may obtain the right for you to keep using it, modify it so it is no longer infringing, or terminate access to the affected part of the Service.

For either party to owe a defense, the party seeking it must give prompt written notice of the claim, allow the other party to control the defense, and provide reasonable cooperation. The party controlling a defense may not settle in a way that imposes an obligation or admission on the other party without that party's consent.

12. Governing law

These Terms are governed by the laws of the State of Wyoming, USA, without regard to its conflict-of-laws rules. The state and federal courts located in Wyoming have exclusive jurisdiction over any dispute arising out of or relating to these Terms, and both parties consent to venue there. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

13. Changes to these Terms

We may update these Terms. If a change is material, we will give your administrators at least 30 days' notice before it takes effect, by email or through the Service. The "Last updated" date at the top of this page shows when we last changed them.

If you keep using the Service after a change takes effect, you accept it. If you do not agree to a change, stop using the Service and terminate under section 8.
